Institutional Shareholder Services (ISS) and Glass Lewis have released updates to their proxy voting policies for the 2022 proxy season. In this Alert, we discuss the updates for 2022, which largely focus on the accountability of the board of directors and its committees for oversight of environmental, social and governance issues, including board diversity, climate responsibility and shareholder rights. Companies should familiarize themselves and their boards of directors with the new and updated policies, which will influence the results of director elections and support for shareholder proposals in the 2022 proxy season.
