We now know that the effective date for the SEC’s Disclosure Update and Simplification Amendments adopted in late August is Monday, November 5, 2018. This means, with one notable exception relating to statements of shareholders’ equity, U.S. public companies will have to comply with the amendments in their next periodic report, which for many companies is the third-quarter Form 10-Q. Although the amendments do not effect substantive changes, we note in this Alert important considerations relating to changes in location of certain disclosures. In addition, we highlight the impact of these changes in the form of “disclosure locators” tied to particular sections of Form 10-Q and Form 10-K. In thus describing the “nuts-and-bolts” application of some of the key amendments, we hope the Alert will make it easier for companies to follow the numerous details of the SEC’s 300-plus page Adopting Release.
